Corporate Governance at Radisson Hospitality AB

The shareholder's meeting is a limited company's highest decision-making body and serves as a forum for shareholders to exercise influence. At the Annual General Meeting of Shareholders ("AGM") the shareholders appoint the members of the Board of Directors, the Chairman of the Board, the auditors and decide on a number of central issues. The Nominating Committee nominates the persons to be elected by the AGM as members of Radisson Hospitality AB's Board. On behalf of Radisson Hospitality AB's shareholders, the Board oversees the organisation and the management of the Company. To increase the efficiency and depth of the Board's work on certain issues, the Board has two committees: the Audit Committee and the Compensation Committee. Internal audit is an important resource for the Board's committees to verify the effectiveness of internal controls. The Board appoints the CEO, who is charged with carrying out the day-to-day management of the Company in accordance with the directions of the Board. The CEO is responsible for leading the work conducted by the Executive Committee. The CEO's administration of the Company, as well as the annual report, is audited by Radisson Hospitality AB's auditor.
